| This agreement dated ,
2006 is between Carol Sciannameo |
|
| Investigations Inc. dba Tampa Bay Investigations (TBI)
and
Client. |
|
| The parties
hereby agree that TBI will provide
Client with investigative findings which |
|
| may include
written reports, documents,
electronically recorded statements, video |
|
| and/or photographic
materials. The aforementioned
is subject to the terms and conditions |
|
| set forth in this
agreement. |
|
|
|
|
| The Client hereby agrees to pay TBI
for investigative services at the hourly rate of $85.00. |
|
| The hourly rate is based on 1
investigator. Each additional investigator assigned to the case |
|
| is
$40.00 per hour. Fees are
broken down as: Investigative Time, Travel Time, Administrative |
|
| Time, Mileage (.50) and
Expenses. Expenses may include, but are not limited to,
rental |
|
| vehicles, travel expenses, and
commercial database usage fees. Client further agrees to a |
|
| working retainer of $500.00 before
services are rendered. Once retainer is received by |
|
| agency, a $50 administrative charge
may be billed to the Client for cancellation. Funds are |
|
| required to be held by agency while
the investigation is ongoing. Any final payments by |
|
| Client shall be due upon receipt of
TBI Invoice. If the unpaid balance is not remitted within |
|
| 30 days, a finance charge of 1.5%
per month will be assessed on the unpaid balance. |
|
| This agreement shall commence on the
date first written above and shall continue until |
|
| terminated by either party for
convenience by giving a 10 day written notice or upon final |
|
| remittance by Client. |
|
|
|
|
| TBI warrants to Client that TBI is
duly licensed, as required by law, to perform investigative |
|
| and related services. TBI
warrants to Client that the services shall be performed with the |
|
| degree of skill and care that is
required and in conformity with the accepted professional |
|
| standards prevailing in the private
investigative industry at the time services are performed. |
|
| TBI further warrants to Client that
in performing the services it will comply with all applicable |
|
| local, state and federal laws,
regulations, and rules including, without limitation, those |
|
| pertaining
to confidentiality of sensitive
information and/or attorney-client information. |
|
| Except as specifically provided above, TBI
disclaims all other warranties, expressed |
|
| or implied. |
|
|
|
|
| All investigative findings furnished
to Client are exclusively for Client's own use. Client agrees |
|
| to restrict the dissemination of
said findings to only third parties who have a legitimate need to |
|
| know, and/or are authorized by
law. Client will hold TBI harmless from damages, losses, cost |
|
| and expenses, including attorney
fees, suffered or incurred in connection with or arising out of |
|
| claims based on investigative
findings provided to Client and for which Client fails to keep |
|
| strictly confidential. TBI
will keep findings strictly confidential and will not disseminate
or |
|
| release any findings to third
parties unless authorized by Client or court ordered. |
|
|
|
|
| Client agrees to give prompt written
or telephonic notice of any legal proceedings, including |
|
| without limitation, any civil
action, administrative hearing, arbitration, in which the findings of |
|
| TBI or any portion thereof are to be
a material issue in dispute. TBI is an independent |
|
| investigative contractor provider
and shall not be deemed an employee, agent, partner, or |
|
| co-venture of Client. Neither
party shall have the authority to make any binding |
|
| representation or agreement on
behalf of the other. Client agrees to pay the agency's
hourly |
|
| rate, plus
travel time, mileage and expenses for any and all court required
appearances for |
|
| the client or
the other party to the action. A predetermined retainer
may be assessed at |
|
| the onset of
the acceptance of the case, to be held until resolution of the case is
achieved, |
|
| to ensure
payment of any and all investigators for their time and expenses
incurred in |
|
| connection
with any court hearings, depositions or any other legal proceedings as
required |
|
| by the
case. |
|
|
|
|
| This instrument (including any
exhibits) contains the entire contract between the parties, |
|
| and
any agreement or representation
respecting the services or the duties of either party |
|
| in
relation thereto not expressly set
forth in this instrument is null and void. Any |
|
| amendment
or modification of this instrument
shall be in writing and duly executed by |
|
| the parties. This
agreement shall be governed by and
construed in accordance with |
|
| the laws of the applicable
State (USA) having
jurisdiction. |
|
|
|
|
|
IN WITNESS WHEREOF, the parties
hereto have executed this agreement |
|
|
the day and year first written
above. |
|
|
|
|
| Completion and submission of this
form signifies agreement with the terms and conditions |
|
| of this Contract and will be
considered a signature. |
